We are VOLTOP S.A.S. (hereinafter referred to as «VOLTOP» or «the Company "). At VOLTOP, we highly appreciate direct and transparent communication with our Users. For this reason, we have created a set of simple and clear rules that define how our Application can be used and downloaded.

It is important that you know that, by entering, registering or accessing the Application, you are proving that you have read, understood and accepted the rules we have established, which we call «Terms and Conditions». If you don't agree with them, we ask you not to use our platform.

We want to remind you that we have the power to update or modify these Terms and Conditions at any time. You will always have access to the most up-to-date version on our website and Application so you can consult them when you want.

Definitions

Implementation:

It is the mobile platform owned by VOLTOP S.A.S., including infrastructure, networks, operating systems, databases and software, through which it activates electrical loading stations at established points, in favor of users, available for IOS and ANDROID platforms.

VOLTOP:

We are a commercial society, formed in Colombia, identified with Nit. 901,611,392-2.

Internet portal owned by VOLTOP whose address is www.voltop.co

Products and / or Services:

It refers to the products and / or services marketed by VOLTOP, including, but not limited to, the activation of electrical charge stations at strategic points in the country.

Terms and Conditions:

These Terms and Conditions of Use and Download of the Application.

User:

Anyone who uses our Technology Platform.

Services

The Application redefines the load experience for electric vehicles by providing a strategically distributed load station activation service throughout the country. Its intuitive and efficient interface allows users to easily manage the load of their electric vehicles, thus contributing to the drive for sustainable mobility at the national level. This innovative platform aims to facilitate the transition to a greener car park, providing a comprehensive solution for the growing network of electrical charging infrastructure.

By simplifying the access and activation of load stations, VOLTOP positions itself as a key ally in promoting electrical mobility. The Application is presented as a key tool for users interested in adopting electric vehicles, offering comfort and accessibility in load management. With its user-centred approach, VOLTOP promotes the adoption of more sustainable technologies and contributes to the development of an advanced and efficient electrical mobility ecosystem.

Acceptance

These Terms and Conditions of Service are applicable to access, download and use of the VOLTOP Application.

When entering the Application and registering a User account for use, the User automatically and expressly accepts the present Terms and Conditions.

The User states that he / she has the legal capacity to be bound according to these Terms and Conditions, as well as the ability to meet his / her obligations in a timely manner. It also expressly recognizes that the acceptance of these terms does not constitute a company contract, mandate or employment relationship between VOLTOP or the company designated by the latter to operate, manage and disperse the amounts derived from the application service, and the User.

In the event of disagreement with these Terms and Conditions, the User must refrain from registering an account and using the Service offered in the Application; otherwise, all its terms will be considered accepted.

Use of the Application

By creating a User account and entering the Application, the User recognizes that VOLTOP gives you non-exclusive, individual, limited, temporary and revocable access, as described below.

The User agrees that the use of the Application, when entering with your user account and password, is done under your own responsibility for the service provided.

All information provided by the User through the Application and any other data and information containing your personal data will be treated according to the Personal Data Processing Policy of VOLTOP, in accordance with Statutory Law No. 1581 of 2012, available to the User through the Application.

Registration

To use the Application Services, the User must complete the registration form within the Application, providing your personal data, such as full name, email and mobile phone number associated with your User account.

The User ensures that the information provided on the form is correct and true, and does not provide third party data.

After registration, a confirmation code will be sent to the user's mail or mobile phone to enter the application. Once this process is completed, the User must generate his or her password, being solely responsible for his or her protection to avoid unauthorized use. VOLTOP will not be responsible for the misuse of the password or application by the User or third parties. If the User does not agree with these Terms and Conditions, you must refrain from using the Application and request any other service offered through it.

Access to implementation

The User is responsible for ensuring access to the data network necessary to use the VOLTOP Technology Platforms. Data rates and messages may be applied by the user's mobile network, and it is responsible for covering these costs, as well as for acquiring and keeping up-to-date the hardware or compatible devices needed to access and use the Applications, including any updates.

Scope of the Service

Through the Application, VOLTOP makes available to the User a technological platform that allows:

1. (a) Consult the location of the available cargo stations in the cities where the service is enabled.

1. (b) Activate loading stations by reading QR codes or other technology mechanisms arranged through the Application.

1. (c) Access basic user support and care information, including a frequent question section and enabled contact channels.

The User recognizes that the Application is a technological tool for the management of the electrical charge service and that its availability and operation may be affected by technical factors, connectivity, station maintenance or by causes attributable to third parties outside the control of VOLTOP.

VOLTOP implements reasonable administrative, technical and organizational measures aimed at protecting the User's information, without involving an absolute guarantee against unauthorized access, system failures or incidents arising from external causes.

Limitation of liability

VOLTOP does not guarantee the continuous availability and continuous operation of the Application. Therefore, VOLTOP does not assume liability for damages that may arise because of:

The lack of availability or accessibility to the Application.

Interruptions in the operation of technology platforms, computer failures, disconnections, delays or blockages caused by deficiencies or overloads in data centres, internet systems, telecommunications networks or other electronic systems.

Speed problems, errors, delays or any anomalies in the platform or in the User's access, caused by problems in the Internet network, in telecommunications networks, fortuitous cases, force majeure or any other unpredictable contingence other than VOLTOP.

Loss, damage or damage of any kind during access to or use of the Application, such as those caused by viruses, computer attacks or other intrusions.

Orders from government authorities that affect the implementation of the Applications and are not attributable to VOLTOP.

The user's exclusive fault.

Lack of guarantee against viruses or other elements introduced by non-VOLTOP third parties that may affect the user's systems.

Loss of information during maintenance or updating of the Application.

Other damage caused by third parties by unauthorized intrusions outside the control of VOLTOP.

In no case will VOLTOP be liable for direct, indirect, incidental, special, exemplary, punitive, loss of profits, loss of data, personal injury, damage to property or consequential damage to the User.

VOLTOP is committed to making every effort to solve problems and provide necessary support to users for a satisfactory solution of the incidence. The liability of VOLTOP is limited to proven damage resulting from a malicious or manifestly negligent action in relation to access to the Application.

Obligations of the User

The User is obliged to:

1. (a) Use the Application in accordance with these Terms and Conditions, the applicable law and the operational instructions informed through the Application.
2. (b) To provide accurate, complete and up-to-date information during the process of registration and use of the Application, and to refrain from supplanting third parties or using data that does not belong to them.
3. (c) To diligently maintain their access credentials, being responsible for all activities carried out from their account.
4. (d) To use cargo stations in an appropriate and responsible manner and to refrain from undue manoeuvres, unauthorized handling or uses contrary to the technical instructions of the service.
5. (e) To have a valid and authorized means of payment for the execution of loading sessions, and to assume the charges arising from the use of the service at the rates informed and accepted.
6. (f) To report in a timely manner through the enabled care channels any failure, inconsistency or anomalous situation related to the service or the charges made.
7. (g) To refrain from using the Application for unlawful, fraudulent or contrary purposes, as well as from conduct that may affect the operation, security or availability of the service.

Failure to comply with these obligations may result in the suspension or cancellation of the User's access to the Application, without prejudice to any other legal actions.

Intellectual Property

The Application is the exclusive property of VOLTOP. All content, including but not limited to source code, software, industrial property, images and designs, are protected by copyright, trademarks and other intellectual and industrial property rights of VOLTOP, according to Colombian standards. Access to the Applications does not, under any circumstances, grant authorization or license to such content and rights.

Trade names, brands, logos and other materials present in the Application are registered property of VOLTOP. Users are not allowed to use these elements, whose title remains under VOLTOP.

Any reproduction, distribution, transformation, public communication, transfer, in whole or in part, of the content of the application and, in general, any act of exploitation of the content, according to the rules of intellectual and industrial property in force, shall be strictly prohibited.

VOLTOP reserves the right to take civil and criminal action for non-compliance with these terms.

Responsibility for the Provision of Information

The User guarantees that all information provided is valid, true, current and property. The personal information provided is governed by the Personal Data Processing Policy of VOLTOP.

The User is responsible for providing and updating your information according to established mechanisms when creating an account.

VOLTOP does not take responsibility for the veracity of the data provided or for the misuse or unauthorized use of third-party data. It reserves the right to implement identity verification measures and to suspend Users whose information cannot be confirmed, without penalties.

VOLTOP can remove content that violates the Terms and Conditions and cancel user accounts, temporarily or definitively, for any reason.

Capacity

The services offered by the Application are exclusively available to users with legal capacity to contract. Users without such capacity, minors or those temporarily or definitively suspended users may not use the services.

Account and Keys

By creating an account to access the Application, the User is solely responsible for maintaining the confidentiality of your password and credentials. The User assumes total responsibility for all activities, requests or management of information in his or her account.

The User accepts and recognizes that:

It can only create an account;

Notify VOLTOP immediately of any unauthorized use of your account or key, or any security violation;

It will ensure that the session is closed at the end of access to the Application.

VOLTOP is not liable for loss or damage resulting from non-compliance with this section. In the event of the detection of accounts with matching data, VOLTOP can cancel, suspend or disable them, without generating repair rights for the User.

Personal Data Privacy Policy

We have developed a policy to inform the User about how VOLTOP collects and uses the content and information provided by the User. By accepting the use of the Application, the User expresses his knowledge of the Personal Data Treatment Policy. For your reference, you can consult it on the page www.voltop.co

Use of Information

The User is the only owner of the information provided to VOLTOP. We collect several types of user-related information according to the requested Service modality.

VOLTOP stores the data that the User provides when using the Application, as well as information on the way and frequency in which the User uses the Services. We also store information on the phones or devices in which the User installs the Application, as well as the data generated by such devices, according to the permission given by the User. When installing any application owned by VOLTOP, the User authorizes the use of such data to improve services, produce statistics, advertising, trade, etc., and authorizes the transmission of information only when necessary and for the purposes mentioned.

La Aplicación cumple con las más estrictas normas de ciberseguridad, aunque el Usuario reconoce la posibilidad de vulnerabilidades y posibles interrupciones, retrasos o imperfecciones. La Aplicación se actualizará según los requisitos para prestar el servicio, con autorización del Usuario en el dispositivo móvil. En caso de no actualizar la Aplicación, el Usuario asume cualquier falla o perjuicio y se abstiene de presentar reclamaciones.

Con estricto apego a los Términos y Condiciones de la Aplicación, VOLTOP otorga al Usuario una licencia limitada, no exclusiva, intransferible y temporal para descargar, instalar y ejecutar una copia de la Aplicación exclusivamente para su propio uso personal en el dispositivo móvil.

Descarga de la aplicación en plataformas iOS o Android

El Usuario reconoce y acepta cumplir con todos los términos, condiciones y avisos de privacidad aplicables respecto a la obtención, descarga y actualización de la Aplicación según lo determinen las plataformas de las respectivas tiendas de los diferentes sistemas operativos para aplicaciones.

Seguridad

VOLTOP realizará todos los actos necesarios para garantizar la protección de la información proporcionada por el Usuario. No obstante, el Usuario se abstendrá en todo momento de realizar lo siguiente:

Ingresar a la Aplicación virus y/o códigos maliciosos de ningún tipo.

Solicitar información de inicio de sesión y/o acceder a una cuenta perteneciente a otro Usuario.

Utilizar la Aplicación para cometer actos contrarios a la ley.

Realizar cualquier acción que pueda afectar el correcto funcionamiento de la Aplicación, su diseño y/o apariencia.

Proporcionar datos falsos.

Proporcionar información personal falsa.

Crear cuentas para terceras personas sin su autorización.

Crear más de una cuenta personal.

Utilizar los Servicios o la Aplicación sin contar con la capacidad legal para obligarse.

Transferir su cuenta de Usuario.

Publicar contenido o realizar acciones en la Aplicación que infrinjan o vulneren los derechos de terceros o que violen cualquier ley de algún modo.

Utilizar marcas, signos distintivos, nombres comerciales, derechos de autor, o cualquier otro derecho de propiedad intelectual o industrial, ya que todos son propiedad única y exclusiva de VOLTOP.

Intentar decodificar el código fuente o el software.

Uso Inapropiado de la Aplicación:

Sin perjuicio de otras medidas, VOLTOP se reserva el derecho de suspender temporal o permanentemente la cuenta de cualquier Usuario en caso de verificar alguna de las siguientes situaciones:

Violación de las leyes colombianas.

Incumplimiento de cualquiera de las disposiciones contenidas en estos términos y condiciones.

Participación en conductas que perjudiquen a VOLTOP, sus afiliadas, subsidiarias, matriz y/o a terceros.

Proporcionar información inexacta, falsa o engañosa, o suplantar a terceros, lo que impide la verificación de la identidad.

Por cualquier otro motivo que VOLTOP considere a discreción.

Costos y Pagos

La descarga, registro y uso de la Aplicación no genera ningún costo para el Usuario. Los cargos únicamente se causarán cuando el Usuario utilice la Aplicación para iniciar y ejecutar una sesión de carga de su vehículo eléctrico en una estación habilitada.

Previo al inicio de cada sesión de carga, la Aplicación informará al Usuario el precio aplicable y las condiciones del servicio, las cuales deberán ser aceptadas de manera expresa para continuar con la operación.

Para efectos del pago, el Usuario podrá registrar un método de pago electrónico a través de los proveedores de servicios de pago habilitados en la Aplicación. VOLTOP no almacena ni conserva información financiera sensible, como datos completos de tarjetas de crédito o débito, los cuales son tratados directamente por terceros especializados en procesamiento de pagos, bajo estándares de seguridad aplicables.

VOLTOP implementa medidas técnicas y organizacionales razonables orientadas a proteger la información del Usuario y a facilitar transacciones seguras, sin que ello implique una garantía absoluta frente a fallas técnicas, interrupciones del servicio o eventos atribuibles a terceros ajenos a su control.

Condiciones de Pago y Facturación

El cobro del servicio se realizará únicamente por las sesiones de carga iniciadas a través de la Aplicación, de acuerdo con la tarifa informada y aceptada por el Usuario antes del inicio de cada sesión.

En caso de interrupciones, fallas técnicas o terminación anticipada de la sesión de carga, el cobro se realizará conforme a la energía efectivamente suministrada, cuando ello sea técnicamente posible, o será objeto de revisión a solicitud del Usuario a través de los canales de atención habilitados.

Las solicitudes relacionadas con cobros, reversos, ajustes o aclaraciones deberán ser presentadas por el Usuario dentro de un plazo máximo de diez (10) días calendario, contados a partir de la fecha en que se haya realizado la sesión de carga o efectuado el cobro correspondiente, a través de los canales de atención dispuestos en la Aplicación. VOLTOP analizará cada caso conforme a la información técnica disponible y a las condiciones del servicio.

Para la gestión de los pagos, la Aplicación utiliza proveedores externos de servicios de pago y entidades financieras debidamente habilitadas, quienes son responsables del procesamiento de las transacciones, validación de los medios de pago y aplicación de sus propias políticas de seguridad, autorización y prevención de fraude.

VOLTOP actúa exclusivamente como facilitador tecnológico del servicio y no es una entidad financiera ni presta servicios bancarios. En consecuencia, VOLTOP no será responsable por rechazos de transacciones, bloqueos, retenciones, cargos, reversos, validaciones de seguridad o cualquier otra actuación derivada de las políticas, decisiones o sistemas de las entidades financieras o de los proveedores de servicios de pago utilizados por el Usuario.

Independencia de las partes

Los presentes Términos y Condiciones de uso de la Aplicación, regulan la prestación de servicios entre la Compañía como prestador y el Usuario, como prestatario, por lo que en ningún momento la misma puede considerarse como una relación de dependencia o subordinación o de cualquier otra naturaleza entre la Compañía y el Usuario.

Obligaciones Legales.

Cada Usuario asume la total responsabilidad de cumplir con todas las obligaciones fiscales y cargas impositivas derivadas de las operaciones realizadas en la Aplicación. VOLTOP no se responsabiliza por el cumplimiento de las obligaciones fiscales o impositivas establecidas por la ley vigente, ni por cualquier otra obligación derivada de la prestación de servicios a favor de los Usuarios mediante la Aplicación.

Modificaciones a los Términos y Condiciones

VOLTOP podrá modificar los presentes Términos y Condiciones en cualquier momento, cuando resulte necesario para la adecuada prestación del servicio, por razones operativas, técnicas, comerciales, de seguridad o por cambios normativos.

Las modificaciones que afecten de manera sustancial los derechos u obligaciones del Usuario, incluyendo aquellas relacionadas con precios, condiciones de pago o limitaciones relevantes del servicio, serán notificadas al Usuario a través de la Aplicación y, cuando corresponda, mediante el correo electrónico registrado, con una antelación razonable a su entrada en vigencia.

Las modificaciones de carácter operativo, técnico, de seguridad, correctivo o aquellas que no afecten de forma sustancial los derechos del Usuario podrán entrar en vigor de manera inmediata, previa notificación a través de la Aplicación.

El Usuario podrá consultar en cualquier momento la versión vigente de los Términos y Condiciones dentro de la Aplicación. El uso de la Aplicación con posterioridad a la publicación de las modificaciones se entenderá como aceptación expresa de las mismas. En caso de no estar de acuerdo, el Usuario deberá abstenerse de continuar utilizando la Aplicación.

VOLTOP podrá establecer condiciones adicionales aplicables a funcionalidades específicas, promociones o nuevos servicios ofrecidos a través de la Aplicación, las cuales serán informadas y, cuando corresponda, requerirán aceptación expresa por parte del Usuario. Dichas condiciones formarán parte integral de los presentes Términos y Condiciones.

La versión vigente de los Términos y Condiciones será la publicada en la Aplicación y sustituirá cualquier versión anterior.

Duración y Terminación

La prestación del Servicio y el uso de la Aplicación tienen, en principio, duración indefinida. La Compañía puede dar por terminada o suspender la prestación de Servicios y el uso de la Aplicación en cualquier momento sin responsabilidad alguna. Esta suspensión o terminación no dará derecho al Usuario a reclamar daños o perjuicios a la Compañía. Del mismo modo, el Usuario puede dejar de usar la Aplicación sin responsabilidad alguna.

Legislación Aplicable y Jurisdicción.

Estos Términos y Condiciones, las Plataformas Tecnológicas, sus contenidos y servicios, así como las relaciones entre los Usuarios y la Sociedad, se regirán y entenderán conforme a las leyes de la República de Colombia, a menos que la normativa vigente requiera someterse a un fuero o legislación diferente. El domicilio para cualquier desacuerdo o controversia relacionada con los Usuarios será la ciudad de Bogotá, D.C., y se resolverá ante los jueces de la jurisdicción ordinaria de la República de Colombia en Bogotá, D.C.

Aviso Legal

La información disponible en la Aplicación tiene carácter informativo y operativo y se pone a disposición del Usuario para facilitar el uso del servicio de carga eléctrica. VOLTOP realiza esfuerzos razonables para mantener la información actualizada y correcta; sin embargo, no garantiza que dicha información se encuentre libre de errores, interrupciones o imprecisiones derivadas de causas técnicas, operativas o de terceros.

VOLTOP no será responsable por el uso indebido que el Usuario realice de la información contenida en la Aplicación, ni por decisiones adoptadas con base en la misma, siempre que dichas situaciones no sean atribuibles a dolo o culpa grave de VOLTOP.

La Aplicación puede verse expuesta a riesgos inherentes al uso de tecnologías de la información, incluyendo accesos no autorizados, fallas de seguridad o vulneraciones ocasionadas por terceros ajenos al control de VOLTOP. En este sentido, VOLTOP implementa medidas razonables de seguridad orientadas a mitigar dichos riesgos, sin que ello implique una garantía absoluta de seguridad.

El Usuario reconoce que es responsable de adoptar las medidas necesarias para la protección de sus dispositivos, credenciales de acceso y entornos digitales, y que VOLTOP no será responsable por daños o perjuicios derivados de fraudes, ataques informáticos o incidentes de seguridad atribuibles a causas externas, fuerza mayor o hechos de terceros.

Cesión

El Usuario no puede ceder total o parcialmente sus derechos u obligaciones en relación con estos Términos y Condiciones. Además, el Usuario no puede acordar, asignar, ceder o transferir a un tercero cualquier reclamación contra VOLTOP derivada de estos Términos y Condiciones, la prestación de los Servicios o el uso de la Aplicación ya sea directa o indirectamente.

y que es parte integral de los presentes Términos y Condiciones.

Vigencia

Los presentes Términos y Condiciones entrarán en vigencia a partir de su publicación en la Aplicación y serán aplicables a todos los Usuarios desde el momento de su aceptación.

La versión vigente de los Términos y Condiciones será aquella publicada y disponible en la Aplicación en cada momento, sin perjuicio de las modificaciones que puedan realizarse conforme a lo establecido en el presente documento.
